Script and Screenplay Registration: User Agreement & Terms
Welcome, Scripped user. We are delighted that you have decided to enroll in our Vault registration service, and we are encouraged by your desire to continue to develop literary works by using our online services. By submitting your literary materials to our Vault registration service you agree to be subject to the following terms of this User Agreement (“Agreement”) that govern the service. These terms may be updated by Scripped from time to time without notice to you. You can review the most current version at any time at http://www.scripped.com/vault/terms. Please be aware, that all registrations are final upon submission and cannot be changed, substituted, or voided.
I. TERM
Registration of your material(s) is valid for a term of six months, five years, or forty years and is contingent upon the option you select during the registration process. Upon expiration, you can renew registration for an additional time period at the then current registration rates. At the time of registration, or renewal, you authorize Scripped to destroy/delete registered material without further notice to you on the expiration of your selected time period from the registration date hereof or any renewal period. This means, for example, if you register for the Vault Light registration service, Scripped may destroy/delete your registered material six months after the registration date hereof, provided you do not renew to extend the time period.
II. DESCRIPTION
The Scripped Vault registration is a service to help authors and writers of any background establish completion dates for all types of literary material, such as, among others, film scripts, television scripts, theatrical, poems, and radio shows. Registration of your materials through the Scripped Vault registration service provides a dated record of your claim to authorship; it is not a formal copyright and does not provide statutory protections under the Copyright Act. If necessary, however, a Scripped employee may produce the material as evidence in a legal action.
Upon registration, Scripped will provide you a registration number and digital certificate. It is your responsibility to retain these materials and any software or licenses to access your submitted material’s contents in the future. After submitting your material, you can make a manual retreival requests for your certificate of registration by emailing vault@scripped.com and mailing it to the following address: 12392 Arroyo De Arguello Saratoga, CA 95070.
III. REGISTRATION OBLIGATIONS
You represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. Further, you agree to provide true, accurate, current and complete information about yourself as prompted through the registration pages. Scripped is concerned about the safety and privacy of all its users, particularly children. For this reason, anyone under the age of 13 is not permitted to use the Scripped registration service at any time or in any manner. By agreeing to the terms of this Agreement, you are affirming that you are over the age of 13.
IV. PRIVACY POLICY
Scripped respects your privacy and permits you to control the treatment of your personal information. A complete statement of Scripped’s current privacy policy can be found here: http://www.scripped.com/privacy. Scripped’s privacy policy is expressly incorporated into this Agreement by this reference.
V. LIMITATION ON LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT SCRIPPED AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (REGARDLESS OF WHETHER SCRIPPED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SCRIPPED VAULT REGISTRATION SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SCRIPPED VAULT REGISTRATIONSERVICE; OR (iii) ANY OTHER MATTER(S) RELATING TO THE SCRIPPED VAULT REGISTRATIONSERVICE. IF YOUR MATERIALS OR THE CERTIFICATE OF REGISTRATION ARE DESTROYED, DAMAGED, CORRUPTED, OR LOST, DUE TO SCRIPPED’S FAILURE TO EXERCISE REASONABLE CARE OR BY ANY REASON WHATSOEVER, IT IS AGREED THAT THE LIQUIDATED DAMAGES FOR THAT LOSS IS AND SHALL BE LIMITED TO $1.00.
VI. MISCELLANEOUS TERMS
The terms of the User Agreement constitutes the entire agreement between you and Scripped and governs your use of the Scripped Vault registration service.
Furthermore, the terms of the User Agreement and the relationship between you and Scripped shall be governed by the laws of the State of California without regard to its conflict of law provisions. You and Scripped agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Los Angeles, California.
The failure of Scripped to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement remain in full force and effect.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Scripped registration service or the Agreement must be filed within one (1) year after such claim or cause of action arose or you will be barred from raising such a claim(s).
VII. ACKNOWLEDGMENT
You acknowledge that you have read this entire Agreement and agree to be bound by the terms set forth herein.
